Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your use of connexli.com and app.connexli.com (together, the "Service"), operated by Connexli ("we," "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

2. What Connexli is (and is not)

Connexli is a marketplace that lets homeowners describe a property, receive sealed proposals from licensed real estate professionals, compare them, and choose whom to contact. Connexli:

• is not a real estate brokerage and does not provide real estate brokerage services, representation, or advice;
• is not a party to any listing agreement, representation agreement, or transaction between users — those agreements are entered into directly with a professional's brokerage, outside the Service;
• does not guarantee that any request will receive proposals, that any proposal will result in an engagement, or any particular sale outcome, price, or savings;
• does not provide legal, financial, or tax advice.

3. Eligibility and accounts

You must be at least 18 and able to enter a binding contract. You agree to provide accurate information, keep your login credentials secure, and accept responsibility for activity under your account. One account per person; accounts are not transferable.

4. Terms for homeowners

• Using Connexli is free for homeowners, and creating a request carries no obligation to select any professional.
• You agree that the property information you submit is accurate to the best of your knowledge and that you are authorized to offer the property for sale.
• When you choose to connect with a professional, you authorize us to share your name, email, and phone number with that professional.

5. Terms for real estate professionals

• You represent that you hold an active real estate license in the state where you offer services, that the license and brokerage information you provide is accurate, and that your brokerage authorizes you to offer the pricing and services in your proposals.
• Access to opportunities requires verification and approval by Connexli, which we may grant, decline, suspend, or revoke at our discretion to protect the integrity of the marketplace.
• You agree to submit proposals in good faith and to honor the terms of a proposal if a homeowner selects it, subject to the formal agreement executed with your brokerage.
• The proposal process is sealed: you agree not to attempt to discover, share, or solicit other participants' proposal terms, and not to contact a homeowner outside the Service before they choose to connect with you.
• Connexli is currently free for professionals during the Utah launch. We may introduce fees in the future, with at least 30 days' notice; continued use after fees take effect constitutes acceptance. We do not charge per-lead fees.
• You are solely responsible for complying with all laws and rules applicable to your profession, including licensing requirements, advertising rules, and fair housing laws.

6. Fair housing

Connexli is committed to fair housing. The Service may not be used to discriminate on the basis of race, color, religion, sex, disability, familial status, national origin, or any other characteristic protected by law. Violations result in immediate removal.

7. Acceptable use

You agree not to misuse the Service, including by submitting false information or fake requests, impersonating others, scraping or harvesting data, interfering with the Service's operation or security, or using it for any unlawful purpose.

8. Content and intellectual property

The Service, including its design, branding, and software, belongs to Connexli and its licensors. You retain ownership of the content you submit (such as proposal text) and grant us a license to use it as needed to operate the Service, including displaying proposals to the requesting homeowner.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We verify professionals' license status at registration but do not guarantee, and are not responsible for, the performance, conduct, or qualifications of any user, or the accuracy of information users provide. Your decision to work with any professional or homeowner is your own.

10. Limitation of liability

To the fullest extent permitted by law, Connexli will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of $100 or the amounts you paid us in the twelve months before the claim.

11. Indemnification

You agree to indemnify and hold Connexli harmless from claims arising out of your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of a third party, including, for professionals, any claim relating to your professional services.

12. Suspension and termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms, harm the marketplace's integrity, or create risk for other users. Sections that by their nature should survive (including Sections 8–11 and 13) survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Utah, and you consent to their jurisdiction.

14. Changes to these terms

We may update these Terms from time to time. If changes are material, we will update the effective date above and take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance.
